Ceridian Launches Secondary Public Offering
Ceridian HCM Holding Inc. (“Ceridian” or the “Company”) (NYSE:CDAY) (TSX:CDAY), a global human capital management software company, announced today that affiliates of Thomas H. Lee Partners, L.P. and David D. Ossip, Chairman and Chief Executive Officer of the Company (the “Selling Stockholders”), intend to offer 7,500,000 and 500,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”), respectively, pursuant to a shelf registration statement filed with the Securities and Exchange Commission (the “SEC”). The 500,000 shares of Common Stock offered by David D. Ossip make up 9.4% of his beneficial ownership of Common Stock prior to the offering.
The offering consists entirely of secondary shares to be sold by the Selling Stockholders. The Selling Stockholders will receive all of the proceeds from the offering.
Goldman Sachs & Co. LLC will act as the underwriter for this offering.
